General terms and conditions of business

General Terms and Conditions of medienfux gGmbH. These terms and conditions also apply to Projects such as Freiraum-Server as a technical consulting and support platform for non-profit institutions.

1. Scope

These General Terms and Conditions (GTC) apply to all contracts between medienfux gGmbH (hereinafter referred to as "medienfux") and its clients. They apply in the version valid at the time the contract is concluded.

2. Subject matter of the contract

medienfux provides services on a project or contract basis. The exact scope of services is specified in separate project contracts or order confirmations.

3. Remuneration and payment terms

The remuneration is agreed on a project-specific basis. medienfux works according to § 4 UStG and is exempt from sales tax. Invoices are payable within 14 days of receipt without deduction.

4. Provision of services

Place of service provision: Unless otherwise agreed, medienfux is free to choose the location of service provision.Right to give instructions: The instruction and supervision of employees is the sole responsibility of medienfux, even if the order is carried out on the client's premises.

5. Copyrights and rights of use

medienfux grants the client a non-exclusive right to use the project results as soon as all payments have been made. Use is limited to the contractually agreed purpose.

6. Confidentiality and data protection

Both parties undertake to keep confidential information confidential and to comply with applicable data protection regulations.

7. Liability

medienfux is only liable for intent and gross negligence. Liability is limited to foreseeable, typically occurring damage.

8. Termination

The notice periods are specified in the respective project contract. The right to extraordinary termination for good cause remains unaffected.

9. Final provisions

German law applies. The place of jurisdiction is the registered office of medienfux. Changes and additions to these terms and conditions must be made in writing.
